Terms of Use – Ovio Merchant Dashboard

These Terms of Use (“Terms”) govern the use of the Ovio Merchant Dashboard, the Ovio Merchant App, and all related services (collectively, the “Service”) operated by Novalia Solutions, a company registered in France with its registered office at 31 Rue Alsace Loraine, 31000 Toulouse, France (“Novalia Solutions,” “we,” “our,” or “us”).
By registering for an account, accessing, or using the Service, you (“Merchant,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Definitions
For purposes of these Terms:
• “Dashboard” means the Ovio Merchant web platform where Merchants register, manage Offers, monitor analytics, and manage billing.
• “Merchant App” means the mobile application enabling in-store QR scanning and validation of redemptions.
• “Public App” means the Ovio application used by students or influencers (“Users”) to claim and redeem Offers.
• “Offer” means any discount, coupon, or promotion created by a Merchant.
• “Proof” means the screenshot or other social-media evidence uploaded by a User to demonstrate compliance with Offer conditions.
• “Validation” means the automated analysis and acceptance of a Proof by Ovio’s system, after which a QR code is generated for redemption.
• “Credits” means pre-paid digital funds stored in the Merchant’s account, usable exclusively within the Service to cover validated redemptions, subscriptions, or other applicable charges.
• “Subscription” means the recurring monthly fee granting access to the Ovio platform and its functionalities.
2. Scope of the Agreement
These Terms apply to all access to and use of the Dashboard, Merchant App, and related functionalities.
The relationship between Novalia Solutions and the Merchant is a business-to-business (B2B) contractual relationship governed by French commercial law.
Novalia Solutions provides a software-as-a-service (SaaS) platform enabling Merchants to promote their businesses to Users.
Novalia Solutions acts solely as a technological intermediary. It is not an agent, broker, or guarantor of any Offer or User action.
3. Account Registration
To use the Service, the Merchant must create an account via the Dashboard, provide accurate business details (including legal entity name, VAT number, and billing address), and link a payment method through Stripe.
By registering, the Merchant represents that it is a legally established business and that all information provided is accurate and up to date.
The Merchant is responsible for maintaining account security and for all activity conducted through its account.
Novalia Solutions may verify information, refuse access, or suspend accounts that are inaccurate, fraudulent, or non-compliant with these Terms.
4. Description of the Service
The Service enables Merchants to:
1. Create and manage promotional Offers displayed to Users in the Public App;
2. Access analytics and redemption statistics;
3. Manage Credits and subscriptions; and
4. Validate QR codes through the Merchant App.
The Service is provided on a SaaS basis. Novalia Solutions strives to maintain the reliability, accuracy, and security of its systems but does not guarantee any specific promotional result, level of exposure, or number of User interactions.
5. Offers and Verification Process
Merchants are solely responsible for the legality, accuracy, and fulfillment of their Offers.
When a User claims an Offer, they must upload a Proof (such as a screenshot of a social-media post). Ovio’s automated system analyzes the Proof. If accepted, a QR code is generated for redemption.
The QR code merely confirms that a Proof was uploaded and automatically validated by Ovio’s system. It does not certify that the User’s content was genuine, current, or fully compliant with the Offer’s requirements.
Novalia Solutions employs advanced verification technology and multiple safeguards designed to detect fraud. These systems have a high degree of precision and reliability when Users follow the App’s procedures correctly, yet no automated process can be entirely infallible.
While Novalia Solutions devotes significant effort to minimizing fraudulent activity, it cannot be held liable if a fraudulent Proof is accepted despite these controls. The Merchant remains responsible for verifying that each User has genuinely met the Offer conditions before granting any benefit.
6. Subscription
Access to the Service requires an active monthly Subscription.
The Subscription grants the Merchant the right to use the Dashboard, access analytics, and manage Offers. It does not include Credits or guarantee Offer visibility.
To make Offers visible in the Public App, the Merchant must maintain a sufficient Credit balance in addition to an active Subscription.
Failure to maintain either may result in temporary suspension or invisibility of the Merchant’s Offers.
Subscription fees are billed on a recurring monthly basis through the payment method on file and are non-refundable except in cases of verified billing error.
Novalia Solutions may adjust Subscription pricing with at least one (1) week’s prior notice via email or Dashboard notification. Continued use after such notice constitutes acceptance of the updated rate.
7. Credits and Billing
All activity within the Service—validated redemptions, Offer visibility, or other chargeable actions—is deducted from the Merchant’s Credit balance.
Credits must be purchased in advance through Stripe payments accessible in the Dashboard.
The Merchant must maintain a positive Credit balance to continue benefiting from Offer visibility and redemptions.
If the balance becomes insufficient, Offers may be automatically hidden or suspended until additional Credits are added.
All purchases of Credits are final, non-refundable, and non-transferable. Credits hold no cash value outside the Service and cannot be withdrawn, exchanged, or reimbursed under any circumstance.
Applicable pricing for redemptions and services is displayed in the Dashboard and may change from time to time with one (1) week’s prior notice.
8. Reporting Fraudulent Use
If a Merchant suspects that a User has submitted fraudulent or non-compliant Proof, the Merchant may submit a report through the Dashboard.
Novalia Solutions will review the report and, if the fraud is confirmed, will credit the corresponding amount back to the Merchant’s account.
All such reimbursements are issued exclusively as Credits within the platform.
They will not be processed as cash or Stripe refunds.
Novalia Solutions’ decision regarding the existence of fraud and the amount of reimbursement is final and binding.
9. Merchant Obligations
The Merchant shall:
1. Provide truthful and lawful business information at all times;
2. Ensure Offers comply with all applicable consumer, advertising, and commercial regulations;
3. Honor valid Offers presented by Users;
4. Verify that the User has fulfilled the Offer’s requirements before granting any discount or benefit;
5. Maintain a sufficient Credit balance to avoid service interruption; and
6. Use the Service only for legitimate business purposes in accordance with these Terms.
The Merchant remains fully responsible for its employees’ or representatives’ use of the Service.
10. Limitation of Liability
Novalia Solutions operates advanced verification systems that are regularly improved to ensure a high level of accuracy and reliability. However, no digital system can guarantee absolute fraud prevention or uninterrupted operation.
To the maximum extent permitted by law, Novalia Solutions disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Novalia Solutions shall not be liable for:
• Fraudulent or erroneous Proofs submitted by Users;
• Any malfunction, delay, or data error in automated verification;
• Business losses or lost profits; or
• Indirect, incidental, or consequential damages of any kind.
In any case, Novalia Solutions’ total aggregate liability shall not exceed the total amount of Credits deducted from the Merchant’s account in the three (3) months preceding the event giving rise to the claim.
11. Suspension and Termination
Novalia Solutions may suspend or terminate the Merchant’s access to the Service without prior notice if:
• Subscription or Credit payment fails;
• Fraudulent, unlawful, or abusive activity is detected;
• The Merchant breaches these Terms; or
• Continued service could harm the platform’s reputation or integrity.
Upon termination, any remaining Credits are forfeited and will not be refunded.
The Merchant may terminate its account at any time by written notice to contact@novalia-solutions.com, without entitlement to refunds for paid Subscriptions or unused Credits.
12. Indemnification
The Merchant agrees to indemnify and hold harmless Novalia Solutions, its affiliates, officers, and employees from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from:
• The Merchant’s Offers, business conduct, or advertising;
• Any dispute with a User; or
• Any breach of these Terms or applicable law.
13. Force Majeure
Novalia Solutions shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including natural disasters, government actions, network outages, or labor disputes.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of France.
Any dispute arising from or relating to these Terms shall fall under the exclusive jurisdiction of the courts of Toulouse, France, notwithstanding multiple defendants or third-party proceedings.
15. Amendments
Novalia Solutions may amend these Terms from time to time. The most current version will always be available in the Dashboard.
Material changes will be communicated with at least one (1) week’s prior notice. Continued use after the effective date of any amendment constitutes acceptance of the revised Terms.
